Book Description: English summary: Since the law further easing the reorganisation of insolvent businesses (ESUG) came into force in March 2012, it has been possible for shareholders to be involved in proceedings. This has created a significant range of strategic possibilities in the conflict area between corporate and insolvency law.

Book Description: English summary: Michael Heese has developed the first system of creditors' information in insolvency on the basis of German constitutional law and a comparative analysis of American insolvency law in the form of the Bankruptcy Code. From a creditor's perspective, information in a case of bankruptcy is the basis for enforcing claims, for participation in the proceedings, and for the transparency of the proceedings. Michael Heese provides a comprehensive analysis of the shortcomings of the current restrictive prevailing opinion in Germany regarding information as expressed in legislation, judicial opinions, and scholarly commentary. His analysis is based primarily on the goals of the information system, the constitutional guarantees which must be considered when implementing these goals, and a comparison with American law. The author's observations regarding the weaknesses in current German law result in his suggestions for legislative reforms to the extent that the weaknesses cannot be addressed in a manner that conforms to the existing system.

Book Description: All modern legal systems with advanced economies must address the question of how to respond to the needs of insolvent consumers whose burden of debt greatly exceeds their capacity to repay within a reasonable time frame. This study surveys comparatively the insolvency regimes currently in place or likely to be adopted in the foreseeable future in Canada, the United States, Australia, England and Wales, Scotland, Scandinavia and a representative group of Western countries on the continent of Europe. Modern legal systems have two basic alternatives in providing relief for over-committed consumers. The first, which involves restricting the enforcement of individual creditor remedies is a method with which this study is not concerned. Where the consumer is seriously insolvent and owes money to many creditors, a different approach is required -- a collective solution to debtor's problems – and this, the solution provided by modern insolvency systems, is the focus of this study.

Book Description: The insolvency of multinational corporate groups creates a compelling challenge to the commercial world. As many medium and large-sized companies are multinational companies with operations in different countries, it is important to provide appropriate solutions for the insolvency of these key market players. This book provides a comprehensive overview of the cross-border insolvency theories, practical solutions and regulatory solutions for the insolvency of multinational corporate groups. Whilst the book recognises certain merits of these solutions, it also reveals the limitations and uncertainty caused by them. An analysis of the provisions and tools relating to cross-border insolvency of multinational corporate groups in the new EU Regulation on insolvency proceedings 2015, the UNCITRAL Model Law on cross-border insolvency, the Directive on preventive restructuring frameworks and the Bank Recovery and Resolution Directive 2014, along with a study of directors’ duties, are included in this book. This book focuses on the insolvency and rescue of non-financial corporate groups. However, it is also important to recognise the similarities and differences between corporate insolvency regimes and bank resolution regimes. In particular, lessons learnt from bank resolution practices may be useful for non-financial corporate groups. This book aims to provide an in-depth examination of the existing solutions for the insolvency of multinational corporate groups. It also aims to view cross-border insolvency of corporate groups within a broad context where all relevant regimes and theories interact with each other. Therefore, directors’ duties in the vicinity of insolvency, preventive insolvency proceedings, procedural consolidation, international cooperative frameworks and bank resolution regimes are considered together. This book may appeal to academics, students and practitioners within the areas of corporate law, cross-border insolvency law and financial law.
